Catalyst Partner Program Agreement
This Catalyst Partner Program Agreement (“Agreement”) is entered into by and between AIML-LEARN PVT. LTD., having its registered office at Senani, 3rd Floor, 12/37, Ex-Servicemen Colony, Paud Road, Pune 411038, Maharashtra, India (“Company”), and the individual participant (“Partner”). By checking the opt-in box, the Partner agrees to the following:
1. Enrollment & Eligibility
Partner status is available to individuals currently enrolled in any Company course with a minimum duration of 12 weeks. Continued participation is subject to the Partner’s adherence to the commitments outlined in this Agreement.
2. Partner Commitments
To maintain Partner status and eligibility for tuition fee reversals, the Partner commits to the following:
A. Peer Referrals: The Partner shall refer at least three (3) qualified leads to the Company. A “Qualified Lead” is a person who is interested in the Company’s services and has been directly introduced by the Partner. Financial credits toward the Partner’s tuition fees shall be issued only upon the Company’s verification of each lead.
B. Video Testimonial: The Partner shall participate in a one-on-one interview (approx. 1 hour) with a Company representative before the end of the course. This interview will serve as a testimonial regarding the Partner’s experience.
C. Marketing Authorization: The Partner grants the Company an irrevocable, royalty-free, worldwide, and perpetual license to use the Partner’s name, image, and career data (including salary increases, job titles, and placement outcomes) in the Company’s marketing, advertising, and promotional materials.
3. Force Majeure
The Company shall not be liable for any failure or delay in the performance of its obligations under this Agreement to the extent that such failure or delay is caused by an event beyond its reasonable control, including but not limited to acts of God, war, hostilities, riot, fire, explosion, accident, flood, sabotage, lack of adequate fuel, power, raw materials, containers or transportation facilities, or compliance with any law, regulation, or government order (a “Force Majeure Event”). In the event of a Force Majeure Event, the Company’s obligations shall be suspended for the duration of the event.
4. Termination
The Company reserves the right to terminate this Agreement and revoke all associated benefits if the Partner fails to fulfill the commitments in Section 2 or engages in conduct that, in the Company’s reasonable judgment, harms the Company’s reputation or business interests.
5. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes or claims arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.
